Terms & Conditions – Resourcery

Welcome to Resourcery (“Marketplace”). These General Terms and Conditions (“Terms”) govern your access to and use of the Marketplace, a platform where translators and interpreters (“Users”, “Sellers”, or “Buyers”) can buy and sell digital resources, including but not limited to translation glossaries, software tools, eBooks, audio resources, and more (“Digital Resources”). By accessing or using the Marketplace, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you should not use the Marketplace.

1. Definitions

“Marketplace”: The platform provided by Resourcery, where sellers and buyers of digital resources interact.
“User”: Any person or entity who accesses the Marketplace site.
“Seller”: A User who lists Digital Resources for sale on the Marketplace.
“Buyer”: A User who purchases Digital Resources from a Seller on the Marketplace.
“Digital Resources”: Any downloadable or digital products available to be acquired on the Marketplace, such as translation glossaries, templates, courses, software tools, and other resources.
“Account”: A registered account used to access the Marketplace, create listings, and make purchases.

2. Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to access and use the Marketplace.
By using the Marketplace, you represent and warrant that you are authorized to enter into a legally binding agreement.
Companies and legal entities are not eligible to create accounts on the Marketplace; all users of the Marketplace must be individuals.
To create an account on the Marketplace, you must be a self-identified member of the translation and interpreting community or industry, as demonstrated by membership in any local, state, or national association of language services professionals (e.g., American Translators Association, Delaware Valley Translators Association, etc.)
The Marketplace’s administrators reserve the right to determine eligibility for use of the Marketplace.

3. Account Registration

To buy or sell Digital Resources, Users must create an Account.
Users are responsible for maintaining the confidentiality of their Account credentials and for all activities under their Account.
The Marketplace reserves the right to suspend or terminate Accounts that violate these Terms or engage in fraudulent, unethical, or illegal activities.

4. Selling Digital Resources

Sellers may list Digital Resources on the Marketplace by creating a listing with a description, price, and file(s) to be sold.
Sellers must ensure that their listings:
- Do not violate intellectual property rights, copyrights, or trademarks.
- Are accurate, clear, and provide all necessary information about the Digital Resources.
- Comply with all applicable laws and regulations, including those concerning digital products, data protection, and consumer rights.
Sellers are responsible for managing their listings and providing customer service as needed (e.g., replying to refund requests or buyer inquiries within a reasonable time frame).
Sellers agree to the following statements:
- I am a translator or interpreter.
- This resource is my intellectual property, and I have the right to sell it.
- I am responsible for providing accurate information in the product listing.
- I will not hold Resourcery or buyers responsible for the use or misuse of this resource.
- I understand my account may be revoked if I violate the General Terms and Conditions for Resourcery Users.

5. Buying Digital Resources

Buyers can browse and purchase Digital Resources listed by Sellers on the Marketplace.
Upon purchasing, Buyers will receive the ability to download and use the Digital Resources according to the terms specified in the listing.
All sales are final, and refunds or exchanges are at the discretion of the Seller, except where required by law.
Buyers agree to the following statements:
- I am a translator or interpreter.
- I will use this digital resource ethically, following my association’s code of ethics or, if none, the American Translators Association’s code.
- I will not resell or share these materials with third parties.
- I am responsible for verifying the quality and accuracy of the document before purchase and will not be entitled to a refund unless the resource significantly differs from its description.
- I will not hold the seller or Resourcery liable for any errors in the document.
- I understand my account may be revoked if I violate the General Terms and Conditions for Resourcery Users.

6. Pricing and Payments

Sellers set the prices for their Digital Resources, and Buyers agree to pay the listed price at the time of purchase.
The Marketplace may charge a commission or fee for each transaction processed through the platform, which will be disclosed to Sellers during the listing creation process.
Payments for purchases will be processed through the Marketplace’s payment gateway, and the Buyer’s payment will be transferred to the Seller, minus any applicable fees.
All transactions are in U.S. dollars, and users are responsible for any taxes, duties, or fees imposed by their respective jurisdictions.

7. Ownership of Digital Resources

Reselling, redistribution, or sublicensing of Digital Resources is prohibited unless explicitly permitted by the Seller.
Sellers retain ownership of the intellectual property rights for the Digital Resources they list on the Marketplace.

8. Marketplace Responsibilities

The Marketplace acts solely as an intermediary between Sellers and Buyers and does not own, sell, or control any of the Digital Resources listed.
The Marketplace does not guarantee the quality, accuracy, or legality of the Digital Resources listed by Sellers.
The Marketplace is not responsible for resolving disputes between Buyers and Sellers.

9. User Conduct

By using the Marketplace, Users agree not to:

Engage in fraudulent, illegal, or deceptive activities.
Post listings that infringe on intellectual property rights or violate laws or regulations.
Harass, threaten, or discriminate against other users.
Manipulate or misuse the Marketplace’s review, rating, or feedback system.
Distribute malware, viruses, or any other harmful software or data.

10. Dispute Resolution

In the event of a dispute between a Buyer and Seller, both parties agree to attempt to resolve the matter amicably through digital communication.
The Marketplace reserves the right to suspend or remove listings, issue warnings, or take further action if a User violates these Terms.

11. Termination

The Marketplace reserves the right to suspend or terminate any User’s Account for violation of these Terms or unethical or illegal activities.
Users may close their Account at any time by contacting the Marketplace’s support team.
Termination of an Account does not affect any rights or obligations that have accrued prior to the termination.

12. Limitation of Liability

The Marketplace is not liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the Marketplace, including but not limited to loss of revenue, data, or profits.
The Marketplace is not responsible for any dispute between Buyers and Sellers, nor does it guarantee the quality or legality of the Digital Resources.

13. Amendments

The Marketplace reserves the right to modify, update, or revise these Terms at any time. Any changes will be posted on the website with an updated effective date.
Users are responsible for reviewing these Terms periodically for any changes. Continued use of the Marketplace after changes have been made constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Lancaster, Pennsylvania.
Any disputes arising under these Terms shall be resolved in the courts of Lancaster, Pennsylvania.
